Files Page
The Files page contains steps on choosing the files you want to submit to SEC and reviewing the filing information.
All the files that were included in the filing package when it was created in CDM are listed on the page, including:
- The form being filed
- Image files included on the form or exhibits
- Taxonomy files
- External exhibit files
To review and select files:
- Review the files included in the list. You can click on a file name to open it in a separate browser tab.
- Select any exhibit files you want to include with the required files.
- Click Next to review the filing information.
- Click Next to proceed to the Filer Details page.
Exhibit Names
The SEC requires the exhibit type to follow a defined naming convention. The exhibit type is defined by the Exhibit Type field at the Project Section level. Applicable exhibit type naming conventions can be obtained through the EDGAR Filer Manual (EFM). For example, Exhibit 31.1 should have an exhibit type of EX-31.1. If you do not define the exhibits correctly in CDM, there will be EDGAR errors when submitting test or live submissions through the Filing Wizard.
To update the exhibit type in the Filing Wizard, in CDM, on each exhibit section, update the Exhibit Type field in Properties. Then update the filing submission package.
